Situation

An individual client faced an unscrupulous counterparty who, after receiving an advance payment under an equipment supply contract, avoided performing its obligations for several months and stopped responding.

Solution

Our lawyers carried out a pre-trial review of the contract, prepared and served a formal claim including a calculation of the penalty and, once the response deadline expired, filed a statement of claim seeking return of the advance payment, recovery of the penalty and reimbursement of legal costs.

Result

The dispute was resolved in the client's favour: the court granted the claim in full, the funds and penalty were recovered, and legal costs were reimbursed by the defendant.

A group of founders decided to reorganise an operating LLC by spinning off a new legal entity in order to separate business lines, while preserving continuity of operations and minimising tax risks.

Solution

The team prepared the full reorganisation package: the founders' resolution, the transfer deed, notifications to the tax authorities and creditors, and supported the state registration of the new legal entity.

Result

The reorganisation was completed without interrupting the operations of either company, within the statutory deadlines and without any objections from regulators or creditors.

Solution

We conducted legal due diligence covering the constitutional documents, contract base, employment relations and permits. The review resulted in a report listing the risks together with recommendations for addressing them.

Result

The company remedied the identified issues before negotiations started, which accelerated the deal and strengthened the client's bargaining position.

A manufacturing company faced repeated breaches of workplace discipline by an employee and was unsure how to carry out a lawful dismissal without risking litigation.

Solution

Our lawyers set up a procedure for documenting the breaches in line with the Labour Code, prepared the records, explanatory notes and orders, and ensured full compliance with the dismissal procedure for repeated breach of employment duties.

Result

The dismissal was carried out with no legal consequences for the company, and the employee's attempt to challenge it in court was unsuccessful.

Following a desk audit, the tax authority assessed a substantial amount of additional tax and penalties against the company, treating part of its expenses as unjustified.

Solution

We prepared a reasoned appeal against the tax authority's decision, supported by documentary evidence and legal argument referencing the Tax Code, and represented the client at every stage of the appeal process.

Result

The tax authority's decision was partially overturned, the additional assessment was reduced and the penalties were lifted.
